　　鉴于，

　　AS,

　　(A) 20__年3月12日，与就事宜达成一致意见，签署了《品牌授权协议》（以下称“原协议”），协议有效期间自20__年1月1日起至20__年12月31日止；

　　According to Initial Agreement, USD $270,000 shall be fully paid by Camsing to as Licensing Royalty on or before August 31, 20__. has paid USD $25,000 as Advance as of the singing date of Initial Agreement, while the remaining USD $245,000 is still unpaid;

　　has contacted Camsing many times to collect remaining payments, while, considering about its actual application of merchandise license, requests for a deduction from the unpaid amounts.

　　故而，双方经友好协商对剩余款项的支付事宜达成如下补充协议：

　　THEREFORE, both Parties, through amicable negotiation, agree upon the payment of remaining unpaid USD $245,000 as following:

　　1. 同意免除自20__年1月1日起至20__年12月31日的授权使用费81,666美金；减免之后，Camsing应付的款项为163,334美金（计算方式：245,000 -81,666=163,334）。同意，按本协议约定支付减免后的授权使用费163,334美金后，不再向主张任何费用，包括但不限于授权使用费、违约金等。

　　4. 应严格按照分期付款计划执行，如有一期逾期支付则视为违约，届时剩余应付款项的支付期限立即到期，并且原先减免的20__年度81,666美金的授权使用费不再减免，将一同并入应付款项由立即一次性全额支付，同时，还应按未付款项总金额每日万分之五的标准向支付逾期付款违约金。

　　5. 法律适用及争议解决：本协议适用中国法律。凡因本协议引起的或与本协议有关的任何争议，均应提交至深圳国际仲裁院（SCIA）按照其仲裁规则进行仲裁，届时败诉方应承担对方为解决本争议而产生的一切合理费用，包括但不限于仲裁费、律师费、差旅费、评估费、调查费、鉴定费等相关费用。

　　Applicable Law and Dispute Resolution: This Agreement shall be governed by the laws of China. Any dispute arising from or in connection with this Agreement shall be submitted to Shenzhen Court of International Arbitration (SCIA) for arbitration according to SCIA’s Arbitration Rules, and the losing party shall bear all reasonable ges of the other party concerning dispute resolution, including but not limited to arbitration fees, lawyer’s fees, business trips costs, evaluatioges, investigation fees, appraisal costs, etc.);

　　6. 本协议生效后，即成为原协议不可分割的组成部分，与原协议具有同等法律效力。除本协议对于剩余应付款项的约定外，原协议的其余部分应完全继续有效。如本协议与原协议发生冲突时，以本协议为准。

　　This Agreement, after its entry into force, becomes an integral part of the Initial Agreement and has the same legal effect. Except for the provisions about the remaining unpaid payment stipulated herein, other provisions of the original agreement shall remain in full effect. In case of any discrepancy, this agreement shall prevail.

　　7. 本协议为中英文版本，如有不符，以中文版本为准。

　　一、雇佣期限

　　二、雇佣内容及工作时间

　　2.2 工作时间：乙方每日工作时间不超过9小时，平均每周工作不超过40小时，每周休息日为周日。甲方安排乙方延长工作时间，应安排乙方同等时间补休或依法支付加班酬劳。

　　Party B works no more than 9 hours per day, no more than 54 hours per week; The Sunday is set as the official weekly rest days. 　　三、报酬及其他福利

　　甲方将每天给予乙方20元人民币，作为鉴证费补助。

　　3.2 甲方应于每月8号以货币或转帐形式足额支付乙方上述报酬。如遇节假日或休息日，应提前到最近的工作日支付，如因特殊原因延期支付报酬的，甲方应在五个工作日内向乙方说明原因。

　　Party A shall pay salary to Party B before the 8th day of every month in the form of cash or bank-transfer. If the 8th day of the month falls in the weekend or holiday, the payment shall be brought forward to the nearest weekday. Party A shall inform Party B and explain the detailed reason within 5 work days in case Party A fails to pay the salary due to special reasons.

　　3.3 甲方可根据生产经营的状况或乙方任务量和工作表现，适时调整乙方的报酬。

　　Party A can adjust Party B’s salary according to its operating conditions, Party B’s workload and performance.

　　3.4 当乙方的工作任务发生变化时，甲方可按规定调整其相应的报酬。乙方接受新的工作任务后，即视作接受甲方按照该工作任务重新确定的报酬。

　　Party B’s labor remuneration will be adjusted in case Party A adjusts Party B’s job responsibilities. Accepting thenew position is regarded as accepting the adjusted salary.

　　3.5 乙方应遵守国家及地方的税法制度，自行缴纳其个人收入的个人所得税，甲方无义务为其代缴。

　　Party B shall pay personal income tax voluntarily according to the state’s tax law. Party A doesn’t shoulder the responsibility to withhold and remit taxes for Party B.

　　3.6若病假连续超过三天，公司支付三天基本工资的一半。超过三天的部分则按现行照法定病金支付。若病假持续，符合社会保障部法定病金的相关规定，则从病假的第一天起，公司只支付法定病金，所有的病假都应有医学证明。

　　Party B sick leave exceeds three days in one continuous period the Employer will pay at half your basic rate the first three days. Thereafter pay will be at the current rate of Statutory Sick Pay. Where periods of incapacity are linked, as laid down in DSS Statutory Sick Pay regulations, you will only receive Statutory Sick Pay at the current rate from the first day of incapacity.All leave due to sickness must be supported by a bona fide medical certificate.

　　四、雇佣合同的解除和终止

　　ⅣContract Cancellation and Termination

　　4.1 合同期满双方不再续签或者双方约定的合同终止条件出现时，雇佣合同即终止。

　　This contract shall be terminated once it expires and both parties do not extend the contract.

　　4.2 经合同双方当事人协商一致，本合同可以解除。

　　The contract may be canceled based on both parties’ mutual negotiation.

　　4.3 乙方应遵守中国的法律、法规及有关规定，乙方如违反上述规定，甲方有权即时解除合同；乙方因健康原因，经医生证明连续病休15工作日后仍不能继续工作，甲方有权提前终止合同。

　　Party B should abide by China laws, decrees and related regulations and Party A’s working systems. During the duration, Party A is entitled to cancel the contract in case Party B violates China laws and decrees, and terminate the contract before expiration in case Party B cannotresume his or her work for health reasons after the medical certification of continuous sick rest for 15 working days.

　　4.4 乙方因归国或其他私人原因未正常出勤且超过十天且未向甲方做出书面说明的，本合同自动终止。 The contract will automatically terminate in case Party B is absent for over 10 days without written explanation due to homecoming or other private reasons.

　　4.5 乙方被证明无法完成本合同项下的工作任务，甲方有权随时解除本合同。

　　In case Party B is proved to be not competent for the work under the contract, Party A is entitled to cancel the contract at any time.

　　4.6 乙方应严格遵守甲方的工作规定以及规章制度，尽职尽责，否则，甲方有权随时解除合同并追究因此而造成的经济损失，并有权对所造成的经济损失在乙方的报酬中作相应扣除。

　　Party B should abide by Party A’s working systems, rules and regulations. Otherwise, Party A is entitled to cancel the contract and claim a corresponding compensation of any economic loss from Party B’s payment.

　　4.7 乙方有权提前30 日以书面形式通知甲方解除本合同，在试用期内提前3日通知甲方即可解除。

　　Party B should inform Party A in written form 30 days in advance for canceling the contract, and 3 days in advance during the probation period.

　　五、其他事项

　　Ⅴ Others

　　5.1 其他未尽事宜，双方可参照甲方公司内部的相关规章制度执行。

　　5.2 甲乙双方均应遵守本合同之约定，任何一方违约，非违约方均有权要求违约方承担相应的损失。

　　5.3 甲乙双方在本合同的执行中如有争议，可协商解决。

　　Ⅳ Contract Cancellation and Termination

　　4.1 合同期满双方不再续签或者双方约定的合同终止条件出现时，雇佣合同即终止。

　　This contract shall be terminated once it expires and both parties do not extend the contract.

　　4.2 经合同双方当事人协商一致，本合同可以解除。

　　The contract may be canceled based on both parties’ mutual negotiation.

　　4.5 乙方被证明无法完成本合同项下的工作任务，甲方有权随时解除本合同。

　　In case Party B is proved to be not competent for the work under the contract, Party A is entitled to cancel the contract at any time.

　　4.7 乙方有权提前30 日以书面形式通知甲方解除本合同，在试用期内提前3日通知甲方即可解除。

　　Party B should inform Party A in written form 30 days in advance for canceling the contract, and 3 days in advance during the probation period.

　　五、其他事项

　　Ⅴ Others

　　5.1 其他未尽事宜，双方可参照甲方公司内部的相关规章制度执行。

　　Other items not stipulated by the two parties can be implemented according to the internal rules and regulations of Party A.

　　5.2 甲乙双方均应遵守本合同之约定，任何一方违约，非违约方均有权要求违约方承担相应的损失。

　　The two parties should abide by the contract. In case one party tears up the contract, the other party has the right to require the defaulting party to undertake corresponding loss.

　　5.3 甲乙双方在本合同的执行中如有争议，可协商解决。

　　For disputes during the execution of the contract, the two parties can settle them through negotiations.

　　5.4 本合同分为中英两种文本，每种文本具有相同的法律效力；如两种文本产生冲突，则中文文本为作准文本。

　　The contract has two versions in Chinese and in English. The twocopies are equally authentic. In case any dispute happens, the Chinese version shall prevail.

　　5.5 本合同一式两份，甲、乙双方各执一份，每份具有同等法律效力。本合同经甲、乙双方签字盖章后生效。

　　The contract is in duplicate, held by Party A and Party B respectively. The twocopies are equally authentic. The contract comes into effect upon signatures or seals of both parties.

　　为明确各方权利和义务，根据《合同法》、《贷款通则》和其他有关法律、法规，订立本合同。

　　This Contract is made in line with the Contract Law of the Peoples Republic of China and The General Provisions of Loans of the Peoples Bank of China to specify the rights and obligations of parties involved.

　　借贷条款 Loan Borrowing Clause

　　第一条借款金额 Article 1. Amount of loan:

　　3.2借据或贷款凭证是本合同不可分割的组成部分。借款的实际放款日和还款日以借款人、贷款人双方办理的借据或凭证上所记载的日期为准。除日期外，借据或凭证其他记载事项如与本合同不一致的，以本合同为准。

　　3.2 A certificate of indebtedness or a loan voucher is an integral part of this Contract. The date of advance and payment due date shall follow the date specified on the certificate of indebtedness or loan voucher . Where there is any inconsistency between the stipulations on the certificate of indebtedness or loan voucher and the Terms and Conditions on this Contract except date, the latter shall prevail.

　　第四条借款划付Article 4 Transferring of loan.

　　借款人办妥借款手续后5个营业日内将全部款项划至借款人指定的账户，划付次数、时间、金额见。

　　The full amount of loan shall be transferred to an Account designated by the Borrower within 5 working days from the date of completing borrowing procedure. Refer to 36.4 for the frequency, time and amount of transferring

　　第五条借款利率和计息 Article 5. Interest rate of loan and calculation

　　5.1借款利率。本合同项下借款利率根据国家有关规定，确定利率见。遇利率调整时，借款期限在1年(含)以下的，执行合同利率，不分段计息;借款期限在1年以上的，实行分段计息，从利率调整的次年1月1日开始，按相应利率的档次执行新的利率;如借款人未按约定时间归还借款本息或未按合同约定用途使用借款，贷款人将按国家规定对借款人计收罚息，罚息率见。

　　5.1 Interest rate of loan: The interest rate under this Contract is specified in 36.5 in line with relevant rules. In case of change of interest rate, the interest rate stipulated in the Contract shall prevail for loans with a life of less than or equal to one year; For loans with a life exceeding one year, the interest shall be calculated on a multi-stage basis, i.e. From next Jan. 1st following the adjustment of interest rate, the new rate shall prevail. In case the Borrower fails to repay the principal and interest before the due date, or fails to use the loan for purposes as agreed in this Contract, the lender shall be entitled to collect default interest in line with relevant rules. The default interest rate is specified in 36.6.

　　5.2遇利率调整时，实行分段计息的，贷款人有权根据国家有关规定自行调整，不另行通知借款人。

　　5.2 In case of calculating interest on multi-stage basis due to adjustment of interest rate, the lender shall be entitled to adjust the interest rate on his own without further notice to the Borrower.

　　第六条还款方式 Article 6 Type of Repayment of Loan

　　6.1借款人应在贷款人开设帐户，户名和帐号见 36.7 ，并保证在每次还款日前足额存入当期应还款项的存款。借款人在此授权贷款人从借款人该帐户中扣收借款本金、利息和可能发生的复利、罚息、违约金、保费、损害赔偿金及实现债权的费用(含律师费和诉讼费)。如该帐户资产不足以归还到期的贷款本息，贷款人有权从借款人在中国工商银行任何分支机构开立的任何帐户划收。

　　6.1 The Borrower should open an account with the Lender( The account name and account number are specified in 36.7.) and promise to deposit sufficient money for repayment before each due date. The Borrower hereby authorizes the Lender to collect , if any, compound interest, default interest, liquidated damage, premium, compensation and expenses arising from the realization of creditors right (including lawyers fee and court expense)in addition to due principal and interest of loan. In case the asset in this Account is not enough for repayment of due principal and interest, the Lender shall be entitled to collect from any Account opened by the Borrower with any branch of ICBC.

　　6.2贷款人与借款人双方商定，自贷款发放次月起，借款人按月归还贷款本息(一次性还本付息除外)，还款期数及还款方式见 36.8 。

　　6.2 The Borrower shall repay the principal and interest on a monthly basis (Except repaying principal and interest in a lump sum) from the second month following the issuing of loan , as agreed between the Borrower and Lender. The repayment tenors and type are specified in 36.8.

　　6.3借款期间遇利率调整，如执行本合同5.1条实行分段计息的，对借款期限在1年以上的，应从利率调整的次年1月1日开始根据未偿还借款余额和剩余还款期数进行调整，重新计算还款金额。

　　6.3 In case of multi-stage calculation of interest as specified in 5.1 due to adjustment of interest rate during the life of loan, the repayment amount for loans with a life exceeding one year shall be recalculated on the basis of balance of unpaid loan and the rest of repayment tenor from next Jan. 1st following the adjustment of interest rate.

　　6.4借款人提前归还贷款须经贷款人书面同意，，提前归还部分的利息仍按本合同约定的利率和该部分实际使用天数计算。

　　6.4 Repayment of the loan ahead of schedule by the Borrower shall be subject to written consent from the Lender. The interest of prepaid amount should be calculated on the basis of rate specified in this Contract and actual days.

　　第七条担保方式 Article 7 Guaranty type.

　　本合同的担保人及担保方式见 36.9。具体约定由本合同中相应的担保条款确足。

　　The Guarantor and guaranty type under this Contract is specified in 36.9. The specific stipulations are stated in corresponding guaranty clauses.

　　第八条借款人的权利、义务Article 8 Rights and obligations of the Borrower.
